BlueCat Custom Websites and Membership Agreement
Offer Description
Standard Website Offers (Core, Premium, Plus, Enterprise):
BlueCat offers professional websites at the prices determined after consultation. Goals and deliverables are agreed upon prior to service delivery.
BlueCat Membership:
- Web Services: Includes hosting, small updates, and maintenance of the website for up to 6 months from the completion date.
- Marketing Suite: Includes access to Bluecat’s marketing tools and services as outlined on the Membership page of the Bluecat website. The Marketing Suite is subject to change, and may vary based on local regulations or service updates.
Bluecat Holiday Special:
Bluecat is offering a professional website package (“Holiday Special”) for a flat fee of $997, which includes the following:
- Website Design & Development:
- Up to 6 custom website pages (mockups only; additional pages may incur additional charges).
- Professional design and development tailored to the Client’s business needs.
- The website will be designed based on the Client’s provided content, branding, and preferences.
- Bluecat Membership (6 months included):
- Web Services: Includes hosting, small updates, and maintenance of the website for up to 6 months from the completion date.
- Marketing Suite: Includes access to Bluecat’s marketing tools and services as outlined on the Membership page of the Bluecat website. The Marketing Suite is subject to change, and may vary based on local regulations or service updates.
Payment & Pricing
- The Client agrees to pay either the full cost of the service or a deposit upon initial Agreement and/or at pre determined milestones: 1/3 as deposit, 1/3 upon final approval of design mockups, and 1/3 after development and before transfer of ownership and/or deployment.
- An initial payment is due upfront. No services will begin until such payment is received in full.
- The Client acknowledges that the Holiday Special is only available for a limited time. Pricing and terms are subject to change after this special period. The Client agrees to pay a total of $997 for the full package, either up front or in predetermined amounts, upon signing this Agreement.
Project Timeline
- The estimated timeline for completion of the website is a few weeks, depending on the Company’s current workload, holidays, and the Client’s responsiveness.
- The Client understands that delays may occur due to factors such as holidays, changes in scope, or late submission of required content.
- BlueCat will communicate any expected delays and will work with the Client to accommodate scheduling needs.
Client Responsibilities
- The Client agrees to provide all necessary content (text, images, logos, etc.) within a timely manner. Delays in providing required materials may result in delays in the website’s launch.
- The Client is responsible for ensuring all content provided does not violate copyright or intellectual property laws.
- The Client must pay for their domain and other ongoing services outside the scope of design and development.
- Licensed software used to design, develop, or maintain websites and services is NOT transferred, and is the sole responsibility of the Client should they choose to discontinue BlueCat Membership.
- The Client must provide clear instructions and feedback throughout the design process to ensure the final product meets their expectations.
Revisions & Approval
- BlueCat will provide two rounds of revisions during the design process. Additional revisions may incur extra charges. Minor changes, as characterized by BlueCat, are not considered under the revisions limit.
- Once the Client approves the final design, the website will be deployed to the live domain.
Bluecat Membership Details
- Web Services: The Client will receive web hosting, small updates (as characterized by BlueCat), and ongoing maintenance. This includes minor changes such as text updates, image swaps, or small functionality adjustments. Web services are free for those who participated in the Holiday Special for up to 6 months from the website’s completion date.
- Marketing Suite: The suite includes tools and services as outlined on the BlueCat website but may change at any time and could be subject to local regulations or updates. Access to BlueCat’s Marketing Suite is included for 6 months for those client who participated in the Holiday Special. After 6 months, the Client may choose to renew the BlueCat Membership for continued access to the Web Services and Marketing Suite at prevailing rate.
Termination
- Either party may terminate this Agreement with written notice. In the event of termination by the Client, BlueCat will refund the Client any unused portion of the membership fee, prorated based on the work completed and services rendered.
- In the event of termination by BlueCat, the Client will be refunded for the unused portion of the services not yet rendered.
Refunds
Once a design is approved and development begins, we do not offer refunds. The money-back guarantee falls away. This policy ensures that we can allocate resources and deliver the best possible service to our clients. It is crucial to review and approve designs thoroughly before providing consent for development to commence.
If you wish to cancel your project before design approval, a refund may be considered on a case-by-case basis. We reserve the right to assess the work completed up to the point of cancellation and may deduct a reasonable fee for the services provided.
In cases of unforeseen circumstances that prevent us from delivering the agreed-upon services, we will work with you to find an equitable solution. This may include rescheduling the project or providing credit for future services.

Intellectual Property
- The Client retains ownership of all content (images, text, logos, etc.) they provide for the website.
- BlueCat retains ownership of the website design, code, and intellectual property created during the development of the website. Upon full payment, the Client is granted a non-exclusive, perpetual license to use the website and its components for their business purposes.
Indemnity
- The Client agrees to indemnify and hold BlueCat harmless from any claims, losses, or damages arising from the content provided by the
- Client or the use of the website.
BlueCat is not responsible for any legal issues arising from third-party content, trademark violations, or intellectual property conflicts.
Limitations of Liability
- BlueCat’s liability is limited to the amount paid by the Client for the services under this Agreement. BlueCat will not be liable for any indirect, incidental, special, or consequential damages arising out of the use of the website or services.
Final
This Agreement constitutes the set understanding between the parties and supersedes any prior agreements or representations, whether oral or written. Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
The Client agrees that the website and membership services are provided “as is,” and BlueCat does not guarantee specific results regarding business performance, SEO, or marketing effectiveness.
This Agreement is governed by the laws of the state and/or country in which BlueCat operates.
